CANDIDATE TERMS AND CONDITIONS
By using Axons Talent's collective products and services for candidate("Services"), website("Website") and related third party services("Third Party"), you must accept the Candidate Terms and Conditions("Terms") outlined below
Definitions:
- Services: Refers to our recruitment services which include job applications, technical assessments, quizzes, code scanning and analysis, interviews
- Website: Refers to our main website and Git Hire portal
- Third Party: Refers to third party services which include psychometric testings, soft skill assessments and related analytical functions
1. RIGHT OF USAGE
Subject to your acceptance and compliance with the Terms, Axons Talent hereby grants you a strictly limited, non-exclusive, non-sublicensable, non-transferable, and revocable right to access our Service during the recruitment engagement process. The rights granted do not constitute any licensing or sale of our software or intellectual property. Axons Talent reserves all rights not expressly granted to you pertaining to these terms.
2. GENERAL RESTRICTIONS
- You must be at least 18 years of age
- You must not engage in manners which are defamatory, deceptive, fraudulent, harassing, harmful or anything of obnoxious and obscene nature
- You must not interfere with any of our technical functionalities, such as decompiling, reverse engineering, theft of source code, spamming of any kind, data scraping, attempts to obtain account and security information, etc
- You must not use or attempt to use any part of our Services to directly or indirectly compete with Axons Talent
- Or violation of any laws and regulations
3. AXONS TALENT ACCOUNT
You may be required to create an account("Git Hire Portal") and provide us with various registration information such as username, email, full name etc. You must not select username and email that you do not have the access right to or engage in manners that constitute as impersonation of other individuals, or provide false and misleading information.
4. SHARED SECURITY RESPONSIBILITIES OF ACCOUNT
While Axons Talent endeavours to ensure the security of you account to the best of our ability, you must also take necessary precautions to make sure your account is properly secured. You must not disclose account and security information to others. If you suspect any breaches of your account information or access, please notify us immediately.
5. INTERVIEW PROCESS
- You agree to keep all interview questions, quizzes, discussions, answers or any materials produced and provided strictly confidential. You must not reproduce, remove, transfer or display any content during interview anywhere without Axons Talent's explicit permission
- To ensure that all of your answers and works provided during the interview to be your original, you must not use any third party services of cheating and deceptive nature, such as AI/Machine Learning assistance, impersonation, coding services etc. You agree to inform Axons Talent that you have previously encountered interview materials which may give you an unfair advantage
- You agree not to improperly disclose any confidential third party information at any stage of the interview
- You give consent to Axons Talent to (a) record any of your interactions during the interview; (b) share any recorded interactions in accordance the Privacy Policy; and (c) infer interview results internally for improving and developing Axons Talent’s products and services. Axons Talent shall own all rights of the interview materials such as interactions and results etc, including all copyright, and you hereby confer all rights to Axons Talent of all such materials. Axons Talent will not use any answers and works produced by you during the interview except for quality assurance, anti-cheating, and general recording keeping purposes
6. VIOLATIONS AND REMEDIES
Failure to comply with these Terms may result in immediate, temporary or permanent withdrawal of your right to use the Services, and Axons Talent may also take any actions it deems appropriate and reserves all rights at law or in equity. Axons Talent may also report any violation of these Terms to prospective employers that may result in any decisions made by prospective employers in response to such a violation, which Axons Talent is not responsible for.
7. WAIVERS AND RELEASE
You acknowledge and agree that Axons Talent makes no guarantee that any interview and related materials provided to you, will result in an placement or any other benefit. Axons Talent is not responsible for the acts of any prospective or interested employer or any other third party with whom you have consented to sharing interview result. You hereby waive and release Axons Talent from any and all claims or other liability relating to or arising from your participation in the interview process and any use by you or a third party of the interview results and/or feedback.
8. WARRANTY DISCLAIMER
Except as expressly set forth in these Terms, Axons Talent and its parent, subsidiaries, partners, licensors, suppliers or affiliated parties (collectively “Axons Talent Parties”) make no representations or warranties, whether directly or indirectly, related to the Axons Talent Services or any content and materials accessed therein. To the maximum extent permitted by applicable law, the Axons Talent Parties disclaim all express or implied representations, conditions and warranties including but not limited to implied warranties of fitness for a any purposes, usability, merchantability or non-infringement. The Axons Talent Services is provided on “as-is” basis. The Axons Talent Parties do not warrant that the provision and operation of the Axons Talent Services shall be uninterrupted and/or error-free.
9. LIMITATION OF LIABILITY
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, UNDER NO CIRCUMSTANCES AND UNDER NO LEGAL THEORY (INCLUDING, WITHOUT LIMITATION, TORT, CONTRACT, STRICT LIABILITY, OR OTHERWISE) SHALL ANY OF THE AXONS TALENT PARTIES BE LIABLE TO YOU OR TO ANY OTHER PERSON FOR (A) ANY CONSEQUENTIAL, INCIDENTAL, INDIRECT, SPECIAL OR PUNITIVE DAMAGES OF ANY KIND, INCLUDING DAMAGES FOR ACCURACY OF RESULTS, BUSINESS INTERRUPTION, LOSS OF DATA, LOSS OF GOODWILL, LOST PROFITS, WORK STOPPAGE OR COMPUTER FAILURE OR MALFUNCTION, OR (B) ANY AGGREGATE AMOUNT IN EXCESS OF ONE ($1) AUSTRALIAN DOLLAR
AXONS TALENT ASSUMES NO RESPONSIBILITIES FOR ANY INTERACTIONS YOU ENCOUNTER WITH ANY THIRD PARTY WEBSITES THROUGH THE AXONS TALENT SERVICE. YOU HEREBY WAIVE AND RELEASE AXONS TALENT FROM ANY AND ALL LIABILITIES ARISING FROM YOUR USE OF THIRD PARTY WEBSITES.
10. FAILURE TO EXERCISE
The failure of either you or Axons Talent to exercise any right specified herein shall not be deemed a waiver of any further rights. If any provision of this Agreement is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent so that this Agreement fully remains effectively and enforceable.
11. HOW WE UPDATE THIS PRIVACY POLICY
At any point in time we may update this Terms and Conditions. Any changes implemented will also reflects your continued acceptance to the revised version, where your Personal Information is subject to the effect of previous version at the time of collection. We will duly notify you via our website, email or any other registered means of communications.
